These Terms & Conditions ("Terms") govern your access to and use of the ININUM website at www.ininum.com (the "Site"), as well as any orders, purchases, products, content, or services made available through the Site. By using the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site. 01 Who We Are The Site and online store are operated by: M33 d.o.o. To place an order, you must be at least 18 years old, or the age of legal majority in your jurisdiction. 03 Scope of These Terms These Terms apply to your use of the Site, any order placed through the Site, any purchase of ININUM products, and your interactions with content, features, and services offered through the Site. Separate policies also apply: Shipping & Returns Privacy Policy Cookie Policy Warranty Policy Disclaimer Those policies are incorporated into these Terms by reference where applicable. 04 Products We may offer the ININUM personal fragrance device, fragrance PODs, accessories, bundles, limited editions, and promotional items. The device is a hardware product. PODs are fragrance consumables. All product descriptions, images, videos, and marketing materials are for general informational purposes. Actual product appearance or packaging may vary slightly. We reserve the right to modify, suspend, or discontinue any product at any time. 05 Personal Use Only Products are intended for personal, non-commercial use unless we expressly agree otherwise in writing. Without prior written consent, you may not resell products, distribute them commercially, or use the Site in connection with unauthorized resale or marketplace arbitrage. We may refuse or cancel orders if we reasonably suspect unauthorized resale, abuse, or fraud. 06 Product Use and Safety You agree to use ININUM products only as intended and in accordance with all instructions, warnings, and user guidance provided. You must not misuse, alter, tamper with, or disassemble the device; use a damaged product; use incompatible accessories or materials that may create risk; or use products in violation of any applicable law. Fragrance PODs may not be suitable for every individual. You are responsible for reviewing product information and discontinuing use if irritation or an adverse reaction occurs. 07 No Medical or Health Claims ININUM products are for fragrance and personal scent experience purposes only. Nothing on the Site should be understood as medical advice or a promise of health-related results. Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Individual experiences with fragrance, scent intensity, and compatibility may vary. 08 Product Listings and Availability Product listings, prices, descriptions, and availability may change at any time without notice. The presentation of products on the Site is an invitation for you to submit an order, not a binding offer to sell. We do not guarantee all products shown will be available at all times. 09 Placing an Order; When the Contract Is Formed By placing an order you submit an offer to purchase. An order confirmation email only confirms receipt — it does not mean acceptance. A contract forms only when we accept your order by sending an acceptance confirmation, dispatching the products, or otherwise clearly confirming acceptance. We may decline or cancel any order before acceptance, including for reasons of product unavailability, pricing errors, payment issues, suspected fraud, or incomplete customer information. If canceled after payment, we will issue the applicable refund. 10 Customer Information You agree to provide accurate, current, and complete information when placing an order, including name, shipping address, email, and payment details. You are responsible for ensuring your information is accurate. We are not responsible for delays, failed delivery, or costs caused by inaccurate information. 11 Prices, Payment, and Taxes All prices are shown in the currency indicated at checkout. You agree to pay the listed price, applicable shipping, applicable taxes, and any other charges clearly disclosed at checkout. We reserve the right to correct pricing or typographical errors at any time. Payments are processed through third-party providers. 12 Shipping The Site is currently intended primarily for orders delivered within the United States. Shipping methods, estimated times, and return logistics are described in our Shipping & Returns policy. Delivery times are estimates unless expressly stated otherwise. We are not responsible for delays caused by circumstances outside our reasonable control. 13 Title and Risk Unless otherwise required by applicable law, title and risk of loss pass to you upon delivery to the shipping address in your order. If tracking shows confirmed delivery, we may assist with a claim at our discretion but are not automatically responsible for carrier-confirmed delivery losses. 14 Returns, Refunds, and Exchanges Returns, refunds, and exchanges are governed by our Shipping & Returns policy and, where relevant, our Warranty Policy. We may deny a return where the product has been used, opened, damaged after delivery, returned outside the applicable window, or is a non-returnable item such as opened fragrance consumables. 15 U.S. Returns Address Unless we instruct otherwise, approved U.S. returns should be sent to: SHIPHYPE — A-916 1 County Rd, Unit A4 Secaucus, NJ 07094 United States Do not return products without first contacting us and receiving return instructions. 16 Warranty The ININUM device may be covered by a separate Warranty Policy. Unless otherwise stated: any warranty is limited; proof of purchase may be required; fragrance PODs and other consumables are excluded from hardware warranty coverage; and damage caused by misuse, unauthorized modification, accidents, or normal wear is not covered. Nothing here limits any mandatory consumer rights that cannot lawfully be excluded. 17 Promotions, Discounts, and Special Offers We may offer discount codes, promotions, bundles, gifts, or other special offers. Unless stated otherwise: offers are limited in time or quantity; may not be combined; may be changed or withdrawn at any time; and have no cash value. We may cancel any promotional benefit where we suspect abuse or fraud. 18 Future Subscriptions, Replenishment, or Preorders We may in the future offer subscriptions, auto-replenishment, waitlists, preorders, or memberships. If we do, additional terms will be presented at the time of the offer and will control for that specific arrangement. 19 User Content, Reviews, and Feedback If you submit reviews, comments, photos, videos, ideas, or other materials ("User Content"), you grant us a non-exclusive, worldwide, royalty-free right to use, reproduce, publish, display, and distribute that content for customer service, product development, marketing, and business purposes, subject to applicable law. 20 Intellectual Property All content on the Site — trademarks, logos, product names, designs, text, graphics, images, videos, software, and layout — is owned by or licensed to M33 d.o.o. and protected under applicable intellectual property laws. Nothing in these Terms transfers any IP rights to you. 21 Prohibited Uses You may not use the Site or products for unlawful purposes; to violate any law; to infringe the rights of others; to transmit malware; to interfere with the Site's performance or security; to scrape or data-mine without authorization; to impersonate another person; to commit fraud, payment abuse, or unauthorized resale; or to probe or exploit vulnerabilities in the Site. 22 Third-Party Services and Links The Site may include or rely on third-party services — payment processors, logistics providers, analytics tools, advertising tools, and external websites. We do not control third-party services and are not responsible for their availability, content, or practices. 23 Disclaimer of Warranties TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, PRODUCTS, CONTENT, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, EXCEPT TO THE EXTENT OF ANY EXPRESS LIMITED WARRANTY PROVIDED BY US. 24 Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, M33 d.o.o. AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AND FULFILLMENT PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM. 25 Indemnification You agree to defend, indemnify, and hold harmless M33 d.o.o. and its affiliates, officers, directors, employees, contractors, agents, and service providers from claims, liabilities, damages, losses, and expenses arising out of your breach of these Terms. 26 Privacy Your use of the Site is also governed by our Privacy Policy and Cookie Policy. 27 Destination and Order Restrictions We may refuse, limit, or cancel sales or shipments to certain persons, jurisdictions, or destinations where sale, transport, import, or use may be restricted or not supported. 28 Force Majeure We are not liable for any failure or delay caused by events beyond our reasonable control. 29 Termination We may suspend or terminate your access to the Site, cancel orders, or restrict use if we reasonably believe you have violated these Terms. 30 Governing Law These Terms and any dispute arising from the Site, the products, or these Terms shall be governed by the laws of Slovenia. 31 Dispute Resolution and Venue Before starting a formal claim, you agree to contact us at info@ininum.com and attempt to resolve the matter informally in good faith. If a dispute cannot be resolved informally, any dispute shall be submitted to the competent courts of Ljubljana, Slovenia, unless mandatory law requires otherwise. 32 No Waiver If we do not enforce any provision of these Terms, that does not waive our right to enforce that provision or any other provision later. 33 Severability If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect. 34 Changes to These Terms We may update these Terms from time to time.
